Eligible Local Content Entity definition

Eligible Local Content Entity means a Local Content Entity that (a) is not prohibited by its organizational documents or applicable laws from providing a guaranty of the Obligations (subject to inclusion of any local law-required limitations and such other changes as the Administrative Agent may reasonably agree), (b) is “controlled” by the Company and (c) is not an Unrestricted Subsidiary.

Eligible Local Content Entity means a Local Content Entity that (a) is not prohibited by its organizational documents or applicable laws from providing a Guaranty in substantially the form of Exhibit G and (b) is “controlled” by the Parent. The Parent shall be deemed to “control” an Affiliate thereof if the Parent possesses, directly or indirectly, the power to direct or cause the direction of the management or policies of such Affiliate, whether through ownership of capital stock, securities, partnership interests or other ownership interests, by contract or otherwise.

Eligible Local Content Entity means a Local Content Entity that (a) is not prohibited by its organizational or constitutional documents or applicable laws from providing a Guaranty in substantially the form as the Credit Party Guaranty set forth in Article XI or a Guaranty Supplement (in each case, subject to inclusion of any local law-required limitations and such other changes as the Administrative Agent may reasonably agree) and (b) is “controlled” by Noble Parent Company (as defined in the definition of “Affiliate”).

  • Nationwide Mortgage Licensing System and Registry means a mortgage licensing system developed and maintained by the conference of state bank supervisors and the American association of residential mortgage regulators for the licensing and registration of licensed mortgage loan originators.

  • Originating site means a site where a patient is located at the time health care services are provided via telecommunications system or where the asynchronous store and forward service originates.

  • Adult foster care facility means an adult foster care facility licensed under the adult foster care facility licensing act, 1979 PA 218, MCL 400.701 to 400.737.

  • Motor vehicle manufacturer means any of the following:

  • Residential care facility means an institution, residence, or facility that is licensed by the department of mental health under section 5119.22 of the Revised Code and that provides care for a child.

  • Cell Site means a transmitter/receiver location, operated by a CMRS provider, through which radio links are established between a wireless system and a Wireless Phone Handset.

  • Long-term care facility means a nursing home, retirement care, mental care, or other facility or institution that provides extended health care to resident patients.

  • Locational UCAP Seller means a Member that sells Locational UCAP.

  • Transient guest means a natural person staying less than 30 consecutive days.

  • Group care facility means an agency, other than a foster-family home, which is maintained and operated for the care of a group of children on a 24 hour basis. RCW 74.15.020

  • Existing manufactured home park or subdivision means a manufactured home park or subdivision for which the construction of facilities for servicing the lots on which the manufactured homes are to be affixed (including, at a minimum, the installation of utilities, the construction of streets, and either final site grading or the pouring of concrete pads) is completed before the effective date of the floodplain management regulations adopted by a community.

  • Multimodal transport operator means the person on whose behalf the bill of lading/multimodal transport document, or any other document evidencing a contract of multimodal carriage of goods, is issued and who is responsible for the carriage of goods pursuant to the contract of carriage.

  • Existing Manufactured Home Park or Manufactured Home Subdivision means a manufactured home park or subdivision for which the construction of facilities for servicing the lots on which the manufactured homes are to be affixed (including, at a minimum, the installation of utilities, the construction of streets, and either final site grading or the pouring of concrete pads) was completed before the initial effective date of the floodplain management regulations adopted by the community.

  • Child care facility or “facility” means a child care center, a preschool, or a registered child development home.

  • Qualified airport authority means an airport authority

  • General purpose radiographic x-ray system means any radiographic x-ray system which, by design, is not limited to radiographic examination of specific anatomical regions.

  • Duty station means the place that is designated as an employee’s official headquarters.

  • Uniform business entity application means the current version of the NAIC Uniform Business Entity Application for resident and nonresident business entities.
