Encumbered Subsidiary definition

Encumbered Subsidiary at any time, any Domestic Subsidiary (a) as --------------------- to which the Administrative Agent does not have a first priority Lien, for the benefit of the Lenders, on all or substantially all of the accounts receivable and real property owned in fee of such Subsidiary or (b) which is not a Borrower hereunder or a guarantor of the obligations hereunder and under the Synthetic Lease Facility, provided that the limitation set forth -------- in subsection 9.15 shall not cause any Domestic Subsidiary to be deemed an Encumbered Subsidiary.
Encumbered Subsidiary means any Subsidiary whose ability to declare or pay any dividend or make any other distribution, or to advance or loan funds, to the Borrower is restricted (other than by Permitted Restrictions).
Encumbered Subsidiary means any Group Company in respect of which Transaction Security has been granted over any of the shares issued by that Group Company;
