Equity Funding definition

Equity Funding means contributions made to the Borrower in the form of:
Equity Funding means funding to be received by Kellplant pursuant to the subscription by KTSA for shares in Kellplant after the date of this Agreement;
Equity Funding means contributions made to the Company in the form of (a) (i) Subordinated Debt, (ii) equity funding from a direct or indirect shareholder, (iii) payment of costs in respect of the Development prior to the Signing Date, (iv) Cash Flow applied or committed to be applied towards Project Costs prior to the Project Completion Date(v) Cash Flow applied or committed to be applied to Development Expenditure that is not committed to fund development of Project Costs, and (vi) following the Project Completion Date, Cash Flows applied towards other capital expenditures in respect of the Project Facilities; provided that such Cash Flows following the Project Completion Date would qualify to be distributed as Restricted Payments based on meeting the conditions set forth in Section 4.06 hereof or are otherwise eligible to be used for Required Capital Expenditures, (b) in-kind contributions of real property up to $51,000,000 as set forth in an appraisal provided by the Obligors, (c) additional in-kind contribution of real property up to $28,000,000 (which is based on the price paid to acquire such real property in arms’-length transactions with third parties) and $3,000,000 related to transaction fees and expenses and labor costs allocated to the Obligors with respect to activities related to Second Phase Development and (d) contributions of early works and pre-construction activities with respect to Train Three of $280,000,000 contributed to CCL pursuant to the Early Works Equity Contribution Agreement, dated as of December 12, 2017, between the Company and the Sponsor, and an assignment to CCL of the technical services agreement, dated as of June 23, 2017, between Corpus Christi Liquefaction Stage II, LLC and ▇▇▇▇▇▇▇ Oil, Gas and Chemicals, Inc.

  • Under no circumstances shall Seller, the Company or any other Person (individually or collectively) be permitted or entitled to receive both (x) a grant of specific performance or injunctive relief to cause Parent to draw down the Equity Financing, to enforce the rights of Parent under the Equity Funding Letters or to consummate the Closing and (y) any amounts in respect of the Guaranteed Obligations whatsoever in circumstances in which the Closing occurs.

  • The Guarantor shall not be required to pay any amount under this Limited Guarantee if it has funded in full its commitment under its Equity Funding Letter being delivered on the date of this Limited Guarantee (as such amount may be reduced or amended pursuant to such Equity Funding Letter) and the Closing has occurred.

  • As security for the payment and performance of its obligations under this Agreement and the other Secured Obligations, BrightSource Ivanpah hereby grants to the Collateral Agent, for itself and on behalf of and for the ratable benefit of the other Secured Parties, a first priority perfected security interest in the Supplemental Base Equity Funding Account and all proceeds thereof (the “Supplemental Base Equity Collateral”).

Equity Funding means, with respect to any Project, the amount of the total projected Capital Costs through commercial operation of such Project to be funded by way of capital contributions by Investor and/or its Affiliates (as specified in the agreed Financial Model), taking into consideration the debt commitments indicated in the applicable Project Financing Indication; provided that if the Project Financing Indication for such Project provides for debt financing representing greater than 50% of the total projected Capital Costs as of FID, then the Equity Funding amount for such Project shall be considered to be 50% of the total projected Capital Costs as of FID in the applicable Financial Model solely for purposes of calculating the deemed repayment of the loan for purposes of Section 5 of the Loan Agreement. The final amount of Equity Funding for a Project shall be determined following receipt of the Project Financing Indication.
