Equity Release Date definition

Equity Release Date has the meaning assigned to such term in Section 2.24(b).

Examples of Equity Release Date in a sentence

  • The sum of the Thermo Contingent Equity Account and the Borrower Contingent Equity Account is at any time prior to the Contingent Equity Release Date less than the Contingent Equity Required Balance.

  • Following the Contingent Equity Release Date, maintain a minimum Liquidity of five million Dollars (US$5,000,000).

  • Thermo shall ensure that no later than Financial Close until the Contingent Equity Release Date, funds are deposited in the Thermo Contingent Equity Account to ensure that the cash balance standing to the credit of the Thermo Contingent Equity Account and the Borrower Contingent Equity Account (in aggregate) is not at any time less than the Contingent Equity Required Balance.

  • On the Contingent Equity Release Date, all amounts in the Borrower Contingent Equity Account will be transferred to the Collection Account.

  • At all times prior to the Equity Release Date (but not thereafter), not permit the ratio of Unencumbered Property NOI to Total Unsecured Indebtedness to be less than eight and one half percent (8.5%); provided that such minimum ratio shall be decreased to eight percent (8%) for the four (4) consecutive quarters immediately following a Material Acquisition.

  • The foregoing shall not limit Administrative Agent’s right to request other items for such Unencumbered Properties in accordance with the terms hereof or its right to require due diligence information and documentation for other additional Unencumbered Properties designated by borrower prior to the Equity Release Date in accordance with the terms hereof.

  • On the Contingent Equity Release Date, provided no Default has occurred and is continuing all amounts in the Thermo Contingent Equity Account will be freely available to Thermo to transfer to such account and with such bank as Thermo may specify (or to such other person as required by Applicable Law).

  • At all times after the Equity Release Date (but not prior to), not permit the Unencumbered Interest Coverage Ratio to be less than 2.00:1.00.

  • Notwithstanding anything in this Section 6.11 to the contrary, to the extent Borrower qualifies for and requests the determination of an Equity Release Date in accordance with Section 2.24(b), and at the time of such release the financial covenants required to be satisfied by Borrower to effect such release are more onerous than those required in this Section 6.11, then the more onerous financial covenants shall be required to be maintained from and after the Equity Release Date, measured quarterly.

Related to Equity Release Date

  • Release Date means the date on which the Initial Shares are disbursed from escrow pursuant to Section 3 of that certain Stock Escrow Agreement dated as of the date hereof by and among the Investors and Continental Stock Transfer & Trust Company.

  • Escrow Release Date has the meaning set forth in the Escrow Agreement.

  • Collateral Release Date has the meaning given that term in Section 8.10.(b).

  • Restriction Release Date means such date, after the Effective Date, that the Board of Directors determines in good faith that it is in the best interests of the Corporation and its stockholders for the transfer restrictions set forth in this Article 4 to terminate.

  • Stock Acquisition Date means the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) under the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such.

  • Escrow Release Conditions means, collectively, the conditions set forth in Section 4.3.

  • Satisfaction Date has the meaning set forth in Section 2.6.

  • Acquisition Date With respect to any REO Property, the first day on which such REO Property is considered to be acquired by the Trust Fund within the meaning of Treasury Regulations Section 1.856-6(b)(1), which is the first day on which the Trust Fund is treated as the owner of such REO Property for federal income tax purposes.

  • Escrow Termination Date has the meaning ascribed to such term in Section 9.12.

  • Change of Control Redemption Date shall have the meaning set forth in Section 7.2;

  • Post Closing Letter is that certain Post Closing Letter dated as of the Effective Date by and between Collateral Agent and Borrower.

  • Pre-Closing Taxable Period means any taxable period ending on or before the Closing Date.

  • Collateral Release Period means, each period commencing with the occurrence of a Collateral Release Event and continuing until the occurrence of the next Collateral Reinstatement Event, if any, immediately following such Collateral Release Event.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Second Closing Date means the date of the Second Closing.

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.

  • Release Effective Date means the date the Release becomes effective and irrevocable.

  • Springing Maturity Date has the meaning specified in the definition of “Maturity Date”.

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Postponed Early Redemption Date means the tenth Business Day following the Early Redemption Date (if any);

  • Tax Redemption Date means, when used with respect to any Note to be redeemed pursuant to a Tax Redemption, the date fixed for such Tax Redemption pursuant to this Indenture.

  • Pre-Funding Period means the period beginning on the Closing Date and ending on the earliest of (a) the date on which the amount on deposit in the Pre-Funding Account is less than $10,000, (b) the Funding Termination Date or (c) the date on which an Event of Termination occurs.

  • Specified Redemption Date means the tenth (10th) Business Day after receipt by the General Partner of a Notice of Redemption; provided that if the Company combines its outstanding REIT Shares, no Specified Redemption Date shall occur after the record date of such combination of REIT Shares and prior to the effective date of such combination.

  • Post-Acquisition Period means, with respect to any Permitted Acquisition, the period beginning on the date such Permitted Acquisition is consummated and ending on the last day of the sixth full consecutive fiscal quarter immediately following the date on which such Permitted Acquisition is consummated.

  • Acquisition Closing Date means the “Closing Date” as defined in the Acquisition Agreement.
