Escrow Bank definition

Escrow Bank has the meaning specified in Section 2.15(c).

Escrow Bank means a Scheduled Bank as defined under Section 2(e) of the Reserve Bank of India Act, 1934 having a net worth of at least ` 1,000 Crore (Rupees One Thousand Crore), with which the Escrow Account is opened and maintained by the Developer;

• Any moneys which remain unclaimed for two years after the date such moneys have become due and payable hereunder shall be repaid by the 2003 Bonds Escrow Bank to the Successor Agency and deposited by the Successor Agency in the Debt Service Fund.

• Whenever the 2003 Bonds Escrow Bank shall deem it necessary or desirable that a matter be proved or established prior to taking, suffering, or omitting any action under this Agreement, such matter may be deemed to be conclusively established by a certificate signed by an authorized officer of the Successor Agency.

• The 2003 Bonds Escrow Bank shall be entitled to rely conclusively upon an unqualified opinion of nationally recognized municipal bond attorneys with respect to compliance with this Section 9, including the extent, if any, to which any change, modification, addition or elimination affects the rights of the holders of the 2003 Bonds or that any instrument executed hereunder complies with the conditions and provisions of this Section 9.
