Escrow Deadline definition

Escrow Deadline means December 31, 2019.

Escrow Deadline means the first Business Day that is at least thirty (30) days after the Agreement Date.

• If: (i) the Corporation withdraws from the Business Combination prior to the Escrow Deadline; and (ii) the Corporation completes an Alternative Transaction within twelve (12) months of the Corporation’s withdrawal from the Business Combination, then the Corporation shall pay the Agent a fee equal to the unpaid portion of the Cash Commission payable hereunder for Subscription Receipts issued on the Closing Date promptly upon closing of the Alternative Transaction.

• Provided the Escrow Release Conditions are satisfied prior to the Escrow Deadline, in connection with the Amalgamation, each Compensation Warrant will be exchanged for one compensation warrant of the Resulting Issuer (each, a “Resulting Issuer Compensation Warrant”) upon the satisfaction of the Escrow Release Conditions.

More Definitions of Escrow Deadline

Escrow Deadline means 12 months following the closing of the Private Placement. “Escrow Release Conditions” has the meaning set forth on the face page of this prospectus. “Escrowed Funds” has the meaning set forth on the face page of this prospectus.
