If the Escrow Release Conditions are not satisfied on or before the Escrow Deadline, the Compensation Warrants shall be immediately cancelled.
If: (i) the Corporation withdraws from the Business Combination prior to the Escrow Deadline; and (ii) the Corporation completes an Alternative Transaction within twelve (12) months of the Corporation’s withdrawal from the Business Combination, then the Corporation shall pay the Agent a fee equal to the unpaid portion of the Cash Commission payable hereunder for Subscription Receipts issued on the Closing Date promptly upon closing of the Alternative Transaction.
