Escrow Deficit definition

Escrow Deficit shall have the meaning set forth in Section 2.05(c)(iv).
Escrow Deficit is defined in Section 2.5.

Escrow Deficit means the difference between Two Hundred Seventy Thousand and No/100 Dollars ($270,000.00) and the amount of the Escrow Property. Fishers Ellipse shall provide notice, and Escrow Holder may provide notice but has no obligation to do so, to Commission of any money paid into the Escrow Account as a result of an Escrow Deficit. Failure to provide such notice shall result in the Commission realizing the RDC’s Additional Basis as described in the MLFA.

  • Professional Fee Escrow Amount means the aggregate amount of Professional Fee Claims and other unpaid fees and expenses Professionals estimate they have incurred or will incur in rendering services to the Debtors prior to and as of the Confirmation Date, which estimates Professionals shall deliver to the Debtors as set forth in Article II.C hereof.
