Escrow Release Event definition

Escrow Release Event means the earlier of (a) the Company’s full payment of the Token Payment Amount pursuant to Section 1(b), (b) a Capital Call pursuant to Section 1(e), or (c) the second anniversary of the issuance of this DPA.
Escrow Release Event has the meaning set forth in Section 4(c).

Examples of Escrow Release Event in a sentence

  • In the event of an Escrow Release Event, all funds from the Series Debt Amount remaining in the Escrow Account shall be due to the Company, immediately.

  • Portal will not spend, transfer, or use the funds in the Escrow Account for any purpose until the occurrence of the any of the following: (i) an Escrow Release Event, (ii) an Escrow Refund Event, (iii) a Partial Escrow Refund Event, or (iv) a Capital Call Event (each an “Escrow Event”, and collectively the “Escrow Events”).

More Definitions of Escrow Release Event

Escrow Release Event means the Company's (i) successful and final acquisition of the Patent Rights (defined below) and (ii) devotion of funds in excess of fifty percent (50%) of the Escrow Amount to preparing a Phase II clinical trial associated with said Patent Rights, before December 28, 2019. For the avoidance of doubt, funds devoted to preparing a Phase II clinical trials associated with the Patent Rights cannot come from the Escrow Account.
Escrow Release Event means the earlier of: (i) the date on which the Vendor has delivered notice to the Company that the Vendor, has paid, on behalf of Omnia, the full amount owing under the PPP Loan and such PPP Loan is discharged in full; or (ii) the date on which Omnia has received the PPP Loan Forgiveness Statement;
Escrow Release Event means that a Change of Control of Translate Bio has occurred, a material disruption in Technology and Process Transfer following such Change of Control has occurred, Sanofi has notified Translate Bio of such material disruption and Translate Bio has not cured such material disruption in the [**] following receipt of such notice.

Escrow Release Event means the Company’s full payment of the Token Repayment Amount pursuant to Section 1(b)(i), provided, if the notice period has expired, any Tokens not delivered to Lender due to Lender’s failure to provide a Wallet address as described in Section 1(b)(iv) will not be deemed unpaid for the purposes of this definition.
