Escrowed Assets definition

Escrowed Assets means the Escrowed Cash, the Escrowed Shares and any other assets as may from time to time be deposited with the Escrow Agent in accordance with this Agreement and the Escrow Agreement, including any dividends or distributions on the Escrowed Shares.

Escrowed Assets shall have the meaning specified in the Master Letter Agreement. ​

Examples of Escrowed Assets in a sentence

• Failure to note any discrepancies shall be deemed confirmation of the description of Escrowed Assets listed on the report regardless of any variations from the original schedule.

• The Escrow Agent's sole responsibility until such termination shall be to keep safely all Escrowed Assets and to deliver the same to a person designated by the appropriate parties executing this Escrow Agreement or in accordance with the directions of a final order or judgment of a court of competent jurisdiction.

More Definitions of Escrowed Assets

Escrowed Assets means each of the Individual Properties listed on Exhibit D attached hereto.

Escrowed Assets means the Purchased Assets set forth on Schedule 1.1(y) hereof.

Escrowed Assets means (i) the Deposited Shares (together with any cash exchanged for any portion of the Deposited Shares pursuant to Section 4 of this Agreement) and related stock power, (ii) the Letters of Credit, (iii) any interest, dividends or other distributions on or proceeds from any of the foregoing or from any investment under this Agreement, and (iv) any securities in which any item described in clause (iii) may be invested.

Escrowed Assets has the meaning set forth in Section 8.4(i).

Escrowed Assets is defined in Section 8.6(b).

Escrowed Assets means a pro rata allocation of each asset held in the Appendix-B Account resulting from the Escrowed Amount divided by the aggregate Statutory Carrying Value of the assets held in the Appendix-B Account as of such date.
