Estimated Shortfall Amount definition

Estimated Shortfall Amount means the amount, if any, by which the Base Amount exceeds the Estimated Working Capital, as set forth in the Sellers’ Representative’s statement furnished to Buyer pursuant to Section 1.7(a).
Estimated Shortfall Amount has the meaning set forth in Section 2.5(a).
Estimated Shortfall Amount means the Shortfall Amount estimated pursuant to and in accordance with Section 2.07 and set forth in the Estimated Closing Date Acquisition Statement.

  • If the Final Closing Shortfall Amount is less than the Estimated Shortfall Amount, Buyer shall, or shall cause a Subsidiary of Buyer to, pay to Seller an amount equal to such deficiency by wire transfer of immediately available funds within three (3) Business Days after the date on which the Final Closing Shortfall Amount is finally determined.
