Estimated Transaction Payments definition

Estimated Transaction Payments is defined in Section 2.2(b).
Estimated Transaction Payments has the meaning set forth in Section 2.3. “Estimated Working Capital” has the meaning set forth in Section 2.3. “Excess Amount” has the meaning set forth in Section 2.4(c). “FDA” means the United States Food and Drug Administration. “Final Cash” has the meaning set forth in Section 2.4(a). “Final Closing Cash Purchase Price” means an aggregate amount equal to (a) One Hundred Sixty-Seven Million Five Hundred Thousand Dollars ($167,500,000), plus (b) Final Cash, plus (c)(x) the amount, if any, that Final Working Capital is greater than Working Capital Target or minus (y) the amount, if any, that Final Working Capital is less than Working Capital Target,

  • Estimated Transaction Expenses has the meaning set forth in Section 2.3(a).

  • Transaction Payroll Taxes means all employer portion payroll or employment Taxes incurred in connection with any bonuses, option cash-outs or other compensatory payments in connection with the Transactions.

  • Closing Cash Amount has the meaning set forth in Section 2.2.

  • Post-Closing Adjustment Amount has the meaning set forth in Section 2.2(a).

  • Closing Cash Payment has the meaning set forth in Section 2.06(a).

  • Closing Payment Amount shall have the meaning set forth in Section 3.1(a).

  • Earnout Payments has the meaning set forth in Section 2.2(a).

  • Closing Cash Consideration has the meaning set forth in Section 2.6(b).

  • Closing Adjustment Amount shall have the meaning set forth in Section 3.2(c).

  • Earnout Payment has the meaning set forth in Section 2.3(b).

  • Closing Payment has the meaning set forth in Section 2.2(a).

  • Earn-Out Payments has the meaning set forth in Section 2.3(a).

  • Completion Payment means the payment for the 20% of the Charges for each Apprenticeship that under the ESFA Rules is only paid once an Apprentice takes their end point assessment, including as the case may be Apprenticeships funded by Transferred Levy Funds;

  • Earn-Out Payment has the meaning set forth in Section 2.5(a).

  • Net Cash Payments means, with respect to any Disposition, the aggregate amount of all cash payments received by the Company and its Restricted Subsidiaries directly or indirectly in connection with such Disposition, whether at the time of such Disposition or after such Disposition under deferred payment arrangements or Investments entered into or received in connection with such Disposition (including, without limitation, Disposition Investments); provided that:

  • Closing Cash means the aggregate amount of all Cash of the Company as of the close of business on the day immediately preceding the Closing Date.

  • Tax Distribution Amount means, with respect to a Member’s Units, whichever of the following applies with respect to the applicable Tax Distribution, in each case in amount not less than zero:

  • Closing Date Payment has the meaning set forth in Section 2.04(a)(i).

  • Earn-Out Consideration is defined in Section 2.5(c).

  • Earnout Amount has the meaning set forth in Section 2.7(a).

  • Closing Consideration shall have the meaning set forth in Section 2.1(b).

  • Earn-Out Amount has the meaning set forth in Section 2.07(a).

  • Cash Amount means an amount of cash equal to the Value on the Valuation Date of the Shares Amount.

  • Earnout has the meaning set forth in Section 2.9(a).

  • Production Payment means a production payment obligation (whether volumetric or dollar denominated) of the Borrower or any of its Restricted Subsidiaries which are payable from a specified share of proceeds received from production from specified Oil and Gas Properties, together with all undertakings and obligations in connection therewith.

  • Net Working Capital Adjustment Amount means an amount (which may be a positive or negative number) equal to (a) the Closing Date Net Working Capital minus (b) the Target Net Working Capital.
