EUR Issuer definition

EUR Issuer means Energizer Gamma Acquisition B.V., a private company with limited liability (besloten vennootschap met beperkte aansprakelijkheid) incorporated under the laws of The Netherlands.
EUR Issuer is defined in the first paragraph of this Agreement.

Examples of EUR Issuer in a sentence

  • If required by the NAIC, the EUR Issuer shall obtain and maintain at its own cost and expense a Legal Entity Identifier (LEI).

  • For the avoidance of doubt, the EUR Issuer acknowledges and agrees that manually signed counterpart signatures to the Notes are required to be delivered at the Closing.

  • Contemporaneously with the Closing the EUR Issuer shall sell to each other Purchaser and each other Purchaser shall purchase the Notes to be purchased by it at the Closing as specified in the Purchaser Schedule.

  • If the holders of more than 50% of the principal amount of the Notes then outstanding accept such offer, the EUR Issuer shall promptly notify the remaining holders of Notes of such fact and the expiration date for the acceptance by holders of Notes of such offer shall be extended by the number of days necessary to give each such remaining holder at least 5 Business Days from its receipt of such notice to accept such offer.

  • Except as permitted by Section 10.2, none of the EUR Issuer, the Company, Holdings or any Obligor Affiliate shall have changed its jurisdiction of incorporation or organization, as applicable, or been a party to any merger or consolidation or succeeded to all or any substantial part of the liabilities of any other entity, at any time following the date of the most recent financial statements referred to in Schedule 5.5.

  • This Section 19 shall not prohibit the EUR Issuer, the Company, Holdings or any other holder of Notes from contesting any such reproduction to the same extent that it could contest the original, or from introducing evidence to demonstrate the inaccuracy of any such reproduction.

  • The EUR Issuer will not and will not permit any Affiliate to purchase, redeem, prepay or otherwise acquire, directly or indirectly, any of the outstanding Notes except (a) upon the payment or prepayment of the Notes in accordance with this Agreement and the Notes or (b) pursuant to an offer to purchase made by the EUR Issuer or such Affiliate pro rata to the holders of all Notes at the time outstanding and upon the same terms and conditions.

  • The EUR Issuer may require payment of a sum sufficient to cover any stamp tax or governmental charge imposed in respect of any such transfer of Notes.

  • The EUR Issuer will apply the proceeds of the sale of the Notes hereunder as set forth in the Investor Presentation.

  • The EUR Issuer will promptly cancel all Notes acquired by it or any Affiliate thereof pursuant to any payment or prepayment of Notes pursuant to this Agreement and no Notes may be issued in substitution or exchange for any such Notes.

Related to EUR Issuer

  • L/C Issuer means Bank of America in its capacity as issuer of Letters of Credit hereunder, or any successor issuer of Letters of Credit hereunder.

  • Issuer has the meaning set forth in the preamble hereto.

  • Intermediate Holdco as defined in the preamble to this Agreement.

  • Subsidiary Guarantor means any Guarantor other than Holdings.
