Exchange Equity definition

Exchange Equity has the meaning specified in the definition of --------------- Permitted Holdings Preferred Equity.

  • The numbers of shares of Exchange Equity that the Purchasers shall receive in exchange for the Purchased Equity shall be the number of shares of Exchange Equity that have an aggregate liquidation value equal to the aggregate liquidation value of the Purchased Equity plus all accumulated and unpaid dividends thereon.

  • Such Rollover Shareholder has received no advice from Holdings or any of its Affiliates as to the legal, investment or tax consequences of the Rollover Shareholder’s investment in the Exchange Equity.

  • Such Investor represents and warrants that it has the full power and authority to execute, deliver and perform this Agreement and to acquire the Exchange Equity issued to it hereunder.

  • Qualified Capital Interests in any Person means a class of Capital Interests other than Redeemable Capital Interests.

  • Company Capital Stock means the Company Common Stock and the Company Preferred Stock.
