Exchange for Security means a privately negotiated transaction consisting of the simultaneous execution of an Equity Derivative against an offsetting equivalent amount of a related underlying cash equity instrument in a quantity that meets a minimum volume threshold;

  • or "Security means any debt securities or debt security, as the case may be, authenticated and delivered under this Indenture.

  • LCR Security means any commercial paper or security (other than equity securities issued to Parent or any Originator that is a consolidated subsidiary of Parent under GAAP) within the meaning of Paragraph .32(e)(viii) of the final rules titled Liquidity Coverage Ratio: Liquidity Risk Measurement Standards, 79 Fed. Reg. 197, 61440 et seq. (October 10, 2014).

  • Successor Security of any particular Security means every Security issued after, and evidencing all or a portion of the same debt as that evidenced by, such particular Security; and, for the purposes of this definition, any Security authenticated and delivered under Section 3.7 in exchange for or in lieu of a mutilated, destroyed, lost or stolen Security shall be deemed to evidence the same debt as the mutilated, destroyed, lost or stolen Security.

  • Similar Security means a reference bond or reference bonds issued by the same issuer as the Reference Security having an actual or interpolated maturity comparable with the remaining term of the Notes that would be utilised, at the time of selection and in accordance with customary financial practice, in pricing new issues of corporate debt securities of comparable maturity to the remaining term of the Notes.

  • Registered Global Security means a Security evidencing all or a part of a series of Registered Securities, issued to the Depositary for such series in accordance with Section 2.02, and bearing the legend prescribed in Section 2.02.

  • Predecessor Security of any particular Security means every previous Security evidencing all or a portion of the same debt as that evidenced by such particular Security; and, for the purposes of this definition, any Security authenticated and delivered under Section 306 in exchange for or in lieu of a mutilated, destroyed, lost or stolen Security shall be deemed to evidence the same debt as the mutilated, destroyed, lost or stolen Security.

  • Exempt Security means any security that is expressly exempted from the preclearance or reporting requirements of the Code, where applicable.

  • Successor Securities has the meaning specified in Section 9.5(a).

  • Security or Securities means Money Market Securities, common or preferred stocks, options, bonds, debentures, corporate debt securities, notes, mortgages or other obligations, and any certificates, receipts, warrants or other instruments representing rights to receive, purchase or subscribe for the same, or evidencing or representing any other rights or interest therein, or any property or assets.

  • Cyber Security means the condition in which road vehicles and their functions are protected from cyber threats to electrical or electronic components.

  • Registered nurse means a person registered by the Board as a Registered Nurse.

  • Registered Security means any Security which is registered in the Security Register.

  • Registered Note means a Note in registered form;

  • Registered Global Note means a Global Note, if issued by TCCI, being in the form or substantially in the form set out in Schedule 1 to the TCCI Note Agency Agreement (or in such other form as may be agreed between TCCI, the TCCI Registrar, the TCCI Transfer Agent and the relevant Purchaser(s)), or if issued by TMCC, being in the form or substantially in the form set out in Schedule 1 to the TMCC Note Agency Agreement (or such other form as may be agreed between TMCC, the TMCC Registrar, the TMCC Transfer Agent and the relevant Purchaser(s));

  • Unrestricted Global Security means a Global Security that is not a Restricted Security.

  • Restricted Global Security As defined in Section 3.01(c).

  • Predecessor Securities of any particular Security means every previous Security evidencing all or a portion of the same debt as that evidenced by such particular Security; and, for the purposes of this definition, any Security authenticated and delivered under Section 3.06 in lieu of a lost, destroyed or stolen Security shall be deemed to evidence the same debt as the lost, destroyed or stolen Security.

  • Global Bearer Security means the ETP Securities in bearer form represented by a global security.

  • Traded Securities means any debt or equity securities issued pursuant to a public offering or Rule 144A offering.

  • Additional Security has the meaning given in clause 10.6;

  • Unregistered Security means any Security other than a Registered Security.

  • Registered Nurse (RN) means an individual licensed pursuant to Iowa Code chapter 152.

  • Quasi-Security means an arrangement or transaction described in paragraph (b) below.

  • Book-Entry Preferred Security means a Preferred Security, the ownership and transfers of which shall be made through book entries by a Depositary.
