Excluded Company Shares definition

Excluded Company Shares has the meaning set forth in Section 2.03(a).

Excluded Company Shares means Company Shares that are owned immediately prior to the Effective Time by Parent or by the Company or any Subsidiary of Parent or the Company and, in each case, not held on behalf of third parties.

Excluded Company Shares means any Company Shares or Online Resources Shares owned by the Borrower or any of its Subsidiaries (including, without limitation, BidCo and Online Resources AcquisitionCo) constituting “margin stock” within the meaning of Regulation U to the extent the value of such Capital Stock exceeds 25.0% of the total value of all assets and Property of the Borrower and its Subsidiaries that are subject to the provisions of Sections 11.2, 11.5, 11.11(a) or any similar provision in other Indebtedness of the Borrower or any of its Subsidiaries with a Lender or an Affiliate of a Lender that is subject to Section 12.1(f)(ii).

• Parent will cause transmittal materials reasonably agreed upon by Parent and the Company prior to the Closing to be mailed as soon as practicable after the Effective Time by the Exchange Agent to each holder of record of Company Shares (other than Excluded Company Shares and Dissenting Shares) as of the Effective Time represented by Certificates.
