Excluded Intercompany Indebtedness definition

Excluded Intercompany Indebtedness means, (i) Indebtedness owed by the Borrower or any Subsidiary to a Wholly-Owned Subsidiary or the Borrower and (ii) up to an aggregate amount of $100,000,000 of Indebtedness owed by the Borrower or any Subsidiary to any Subsidiary that is not a Wholly-Owned Subsidiary.
Excluded Intercompany Indebtedness means, (i) Indebtedness owed by the Borrower or any Subsidiary to a Wholly-Owned Subsidiary or the Borrower and (ii) up to an aggregate amount of $50,000,000 of Indebtedness owed by the Borrower or any Subsidiary to any Subsidiary that is not a Wholly-Owned Subsidiary.
Excluded Intercompany Indebtedness means, (i) Indebtedness owed by the Borrower or any Subsidiary (other than any Designated SPE) to a Wholly-Owned Subsidiary (other than any Designated SPE) or the Borrower and (ii) up to an aggregate amount of $100,000,000 of Indebtedness owed by the Borrower or any Subsidiary (other than any Designated SPE) to any Subsidiary (other than any Designated SPE) that is not a Wholly-Owned Subsidiary. For the avoidance of doubt, in no event shall “Excluded Intercompany Indebtedness” include any Indebtedness owed by the Borrower or any Subsidiary to a Designated SPE or any Indebtedness of a Designated SPE owed to the Borrower or any other Subsidiary.

  • Permit any Subsidiary to create, incur, assume or suffer to exist any Indebtedness (other than Excluded Intercompany Indebtedness), unless the aggregate amount (at any time outstanding) of (x) such Indebtedness, taken together with all other Indebtedness of Subsidiaries (other than Excluded Intercompany Indebtedness) plus (y) all Indebtedness of the Borrower secured by any Lien incurred by the Borrower (other than Liens, if any, securing the Obligations) does not at any time exceed $250,000,000.
