Excluded Licenses definition

Excluded Licenses shall have the meaning set forth in Section 1.2(d).

Excluded Licenses means all agreements between JDSU or its Affiliates and a Third Party that provide a license to Intellectual Property Rights that are owned by any member of the JDSU Group or the Lumentum Group, other than the Transferred Licenses.

Excluded Licenses means contracts, licenses, or other agreements ----------------- currently in effect relating to any Intellectual Property that constitutes: (i) "shrink wrap" software; or (ii) third party software generally available to the public for a license fee of less than $10,000.

Examples of Excluded Licenses in a sentence

• Lumentum and JDSU will use their best efforts to seek and obtain the consent of any Third Party necessary for the transfer of any of the Excluded Licenses, and Lumentum and JDSU shall bear equal responsibility for any consideration necessary for their transfer.

• Lumentum agrees to, and agrees to cause its Subsidiaries to, assign and convey to JDSU, the Excluded Licenses, subject to the terms, conditions, and restrictions of each Excluded License.

• Except for the Excluded Licenses, the AML Licenses and the AML Applications constitute all of the FCC licenses necessary to provide the Services to the Properties.

More Definitions of Excluded Licenses

Excluded Licenses means the month to month parking licenses and sign leases and other minor licenses and leases in the name of the Master Lessee or its Affiliates, including those set forth on Schedule I of the Mortgage Loan Agreement, as the same may be amended, modified or replaced by Mortgage Borrower, Master Lessee or their respective Affiliates without Lender’s or Mortgage Lender’s consent except to the extent such amendment, modification or replacement would have a Material Adverse Effect.

Excluded Licenses are, collectively, (i) that certain Patent License Agreement dated as of March 28, 2008 by and between The Trustees of the University of Pennsylvania and Apellis AG and (ii) that certain Amended and Restated Patent License Agreement dated as of March 28, 2008 by and between The Trustees of the University of Pennsylvania and Potentia Pharmaceuticals, Inc., as each may be amended from time to time in the reasonable business judgment of Borrower.

Excluded Licenses means the Letter dated June 7, 2008 for the approval of the Seller as a co-developer issued by the Department of Commerce (SEZ Section), Ministry of Commerce and Industry and any other Approvals held by the Seller in relation to the Retained Business as of the BTA Closing Date and any other licenses, permits or approvals exclusively relating to the Retained Business.

Excluded Licenses means the licenses granted pursuant to the following agreements: (i) the Ucyclyd Collaboration Agreement; (ii) License Agreement dated April 16, 1999, among Xx. Xxxx Xxxxxxxx, Xxxxxxxx Enterprises LLC, and Borrower (as successor in interest to Ucyclyd, which was successor in interest to Medicis Pharmaceutical Corporation), including the Settlement Agreement and First Amendment dated August 21, 2007 among Xx. Xxxx Xxxxxxxx, Brusilow Enterprises LLC, Borrower (as successor in interest to Ucyclyd) and Medicis Pharmaceutical Corporation; and (iii) Asset Purchase Agreement between Borrower and Ucyclyd dated March 22, 2012.
