• Exelixis shall own the Product Marks throughout the world and all goodwill in the Product Marks shall accrue to Exelixis.

• Exelixis and BMS shall each cooperate with each another and shall use commercially reasonable efforts in obtaining patent term extension (including any pediatric exclusivity extensions as may be available) or supplemental protection certificates or their equivalents in any country with respect to patent rights covering the Products.
