Exhibit E-2. Xxxx of Sale, Assignment and Assumption from Tesoro, the General Partner, the Partnership and the Operating Company to TLP with respect to the TAPC Equity. This Xxxx of Sale, Assignment and Assumption, dated to be effective as of [_______], 2014 (this “Instrument”), is made, executed and delivered by Tesoro Alaska Company LLC, a Delaware limited liability company (“TAC”), Tesoro Corporation, a Delaware corporation (“Tesoro”), Tesoro Refining & Marketing Company LLC, a Delaware limited liability company (“TRMC”), Tesoro Logistics GP, LLC, a Delaware limited liability company (the “General Partner”), and Tesoro Logistics LP, a Delaware limited partnership (the “Partnership”), in favor of Tesoro Logistics Operations LLC, a Delaware limited liability company (“Operating Company”). Capitalized terms not defined herein shall have the meanings given to them in the Contribution Agreement (as defined below).

Examples of Exhibit E-2 in a sentence

  • The creation of any Escrow Account shall be evidenced by a certification in the form of Exhibit E-1 hereto, in the case of an account established with the Company, or by a letter agreement in the form of Exhibit E-2 hereto, in the case of an account held by a depository other than the Company.
