Existing Manufacturer definition

Existing Manufacturer means manufacturer existing on the date of publication of this order in the Official Gazette.
Existing Manufacturer means (i) each Manufacturer with which DFS has entered into a business arrangement, either through a Floorplan Agreement or any other arrangement, on or prior to the Closing Date for Series 1994-1, (ii) each Manufacturer with which DFS enters into such a business arrangement after the Closing Date for Series 1994-1 so long as the aggregate balances of the Receivables subject to such Floorplan Agreement do not exceed lesser of (a) 1% of the Pool Balance at the beginning of the Collection Period in which the addition of the related Additional Account occurs and (b) $25 million and (iii) each Manufacturer with which DFS enters into such a business arrangement after the Closing Date for Series 1994-1 and as to which the Rating Agency Condition is satisfied.
Existing Manufacturer means a third party that manufactures for which Tarsus pays (or has paid) Elanco $[***] pursuant to Section 3.1 of the Eye Care and Dermatology License Agreement.

  • Additionally, if Tarsus engages a third party other than Siegfried to manufacture the Licensed Product and such manufacture requires material manufacturing Know-How not previously provided to Tarsus then Elanco shall provide (or cause Siegfried to provide) such Know-How and, unless such third party is an Existing Manufacturer, Tarsus shall pay Elanco $[***] within thirty (30) days after its receipt of all of such Know-How.
