Existing Owner Registry definition

Existing Owner Registry means the registry of Persons who are owners of the Auction Rate Notes, maintained by the Auction Agent as provided in the Auction Agent Agreement.
Existing Owner Registry means the register maintained by the Auction Agent pursuant to Section 2.2 hereof.

  • If as a result of any such reconciliation a discrepancy is discovered between the records of the Broker-Dealers and the Existing Owner Registry maintained by the Auction Agent pursuant to Section 2.2(a) of the Auction Agreement, such Existing Owner Registry shall be adjusted to conform to the records of the Broker-Dealers.

  • The VILLAGE shall reimburse an employee his cost of transportation (the lesser of the current IRS mileage rate plus parking or public transportation) together with meals and lodging as appropriate for purposes of travel and attendance at assigned training programs outside the VILLAGE.

  • Thereafter, the Auction Agent shall indicate in the Existing Owner Registry the aggregate principal amount of Offered Notes held by each initial Existing Owner and the identity of the respective Broker-Dealer of each Existing Owner, if any, on whose behalf such Broker-Dealer submitted the most recent Order in any Auction which resulted in such Existing Owner continuing to hold or purchasing the Offered Notes.

  • In the absence of receiving any such information with respect to any Existing Owner from such Existing Owner's Participant or otherwise, the Auction Agent may continue to treat such Existing Owner as the beneficial owner of the principal amount of Auction Rate Notes shown in the Existing Owner Registry.

  • In the absence of receiving any such information with respect to any Existing Noteholder from such Existing Noteholder's Participant or otherwise, the Auction Agent may continue to treat such Existing Noteholder, as the beneficial owner of the principal amount of Auction Rate Notes shown in the Existing Owner Registry.

  • The Auction Agent shall indicate in the Existing Owner Registry for each Existing Owner the identity of the Broker-Dealer that submitted the most recent Order in any Auction that resulted in such Existing Owner continuing to hold or purchasing the Auction Rate Notes.

  • In the absence of receiving any such information with respect to an Existing Owner, from such Existing Owner's Participant or otherwise, the Auction Agent may continue to treat such Existing Owner as the beneficial owner of the aggregate principal amount of Offered Notes shown in the Existing Owner Registry.

  • Such services shall be rendered at the offices of the Company in the United States, Israel, at Rinberg's home office or at such other places as reasonably requested by Zion in consultation with Rinberg.
