Examples of Existing Term A Loans in a sentence
The undersigned Term A Lender hereby irrevocably and unconditionally (i) approves the Agreement and the certain amendments set forth therein and (ii) consents to convert 100% of the outstanding principal amount of the Existing Term A Loans held by such Lender (or such lesser amount allocated to such Lender by the Joint Lead Arrangers and Bookrunners) into an Amended Term A Loan in a like principal amount and to consent to the Agreement as a Converting Term A Lender.
The proceeds of the 2017 Refinancing Term Loans made on the Restatement Date pursuant to Section 2.01(a) hereof shall be used on the Restatement Date to prepay in full all Existing Term A Loans.
The Existing Term A Loans which remain outstanding as of the Amendment No. 4 Effective Date, subject to the terms and conditions set forth in Amendment No. 4, shall be re-evidenced as 2023 Term A Loans or 2026 Term A Loans under this Credit Agreement (the Existing Term A Loans evidenced as 2023 Term A Loans or 2026 Term A Loans collectively, the “Term A Loans”).
Subject to the terms and conditions set forth herein, the Existing Term A Loans (other than any such Loans converted into Term A-2 Loans pursuant to the Restatement Agreement) of each Term A-1 Lender (each individually, a “Term A-1 Loan” and, collectively, the “Term A-1 Loans”) shall be continued pursuant to the Restatement Agreement in Dollars on the Restatement Effective Date in a principal amount not to exceed such Term A-1 Lender’s Term A-1 Loan Commitment.
Other than with respect to the Existing Term A Loans as expressly set forth herein, nothing herein contained shall be construed as a substitution or novation, or a payment and reborrowing, or a termination, of the Obligations outstanding under the Credit Agreement or instruments guaranteeing or securing the same, which shall remain in full force and effect, except as modified hereby or by instruments executed concurrently herewith.
