Extraordinary Fund Event definition

Extraordinary Fund Event means, in the determination of the Calculation Agent, the occurrence or existence of any of the following:

• Where the occurrence of an event or set of circumstances is capable of triggering more than one Extraordinary Fund Event, the Calculation Agent may determine which Extraordinary Fund Event is to be triggered, in its sole and absolute discretion.

• If the Issuer determines (acting on the instructions of the Calculation Agent) that the action to be taken in respect of the Extraordinary Fund Event is to be "Termination", the Issuer shall redeem each Equity Linked/Fund Linked/Multi Underlying Linked Note at its Fair Market Value as at the date of redemption taking into account such Extraordinary Fund Event date as the Issuer (acting on the instructions of the Calculation Agent) shall notify to holders of the Fund Linked/Multi Underlying Linked Notes.

• Following the occurrence of an Extraordinary Fund Event, the Calculation Agent may take certain steps set out in Product Condition 4 including requiring the Calculation Agent to adjust the terms of the Conditions or cancelling the Securities or substituting the Fund Shares with other fund shares or other specified assets.

• Upon the occurrence of an Extraordinary Fund Event, the Calculation Agent shall give notice as soon as practicable to the Noteholders in accordance with Condition 17 (Notices) stating the occurrence of the Extraordinary Fund Event, giving details thereof and the action proposed to be taken in relation thereto.

• The Calculation Agent may (but need not) determine the appropriate adjustment by reference to the adjustment (if any) in respect of the Extraordinary Fund Event made by an options exchange to options on the Underlying Equity traded on that options exchange.
