If Purchaser does not own the Premises or Facility, Purchaser has obtained all required consents from the owner of the Premises and/or Facility to grant the License and enter into and perform its obligations under this Agreement.
To the extent that Purchaser does not own the Premises or Facility, Purchaser shall provide to Seller immediate written notice of receipt of notice of eviction from the Premises or Facility or termination of Purchaser’s lease of the Premises and/or Facility.
If Purchaser shall procure fuel for the Facility, Purchaser shall pay for such fuel directly.
If Seller has not provided satisfactory assurances to Purchaser of its willingness and ability to operate the Facility in accordance with this Agreement within [2] months following a refusal to operate the Facility, Purchaser may terminate this Agreement and exercise its remedies (including purchase of the Facility) pursuant to Clause 10.
After the Commercial Operation Date for any Unit or the Final Commercial Operation Date for the Facility, Purchaser shall dispatch that Unit or the Facility respectively and accept delivery of all Test Energy when reasonably requested to do so by Seller to accommodate Seller’s testing of any Unit or the Facility, including that testing of any Unit or the Facility which Seller is required or permitted to perform, or cause to be performed, pursuant to this Agreement.
Prior to the time at which any Energy will be delivered to Purchaser from the Facility, Purchaser will schedule and shall be obligated to take delivery of the Energy to be delivered under this Agreement.
In the event of the assignment of this Agreement by Purchaser to Lender or any financial institution or institutions participating in the financing of the Facility, Purchaser shall remain fully responsible according to this Agreement for all of its obligations and liabilities hereunder.
Subject to Clause 21.21.2, to facilitate Seller’s obtaining of financing to construct, operate, and maintain the Facility, Purchaser shall make reasonable efforts to provide such consents to assignments, certifications, representations, information, or other documents required under this Agreement as may be reasonably requested by Seller or the Lenders in connection with the financing of the Facility.
Although it is anticipated that Purchaser will make offers of employment to most employees presently employed at the Cleveland Facility, Purchaser is under no obligation to employ any personnel presently employed by Sellers.
Notwithstanding whether there have been any demands or payments under any of the bonds issued under the Bonding Facility, Purchaser shall pay to Seller $2,400,000 on the earlier of (a) December 31, 2020 and (b) the date on which the bond identified on Section 6.17 of the Disclosure Schedule is released.
