Failure to Publish definition

Failure to Publish means the failure by the relevant price source to make public the relevant price, or the temporary or permanent discontinuance or unavailability of the price source.

Failure to Publish means in relation to a Fund Interest, any of the Fund, any Fund Service Provider or any other party acting on behalf of the Fund fails for any reason to calculate and publish the NAV per Fund Interest on any Scheduled Valuation Day in respect of such Fund Interest;

  • Privacy Notice means Sage’s privacy notice posted on xxx.xxxx.xxx (or such other URL as Sage may notify to you) and which may be amended by Sage from time to time.

  • Non-Public Information means material non-public information (within the meaning of United States federal, state or other applicable securities laws) with respect to Borrower or its Affiliates or their Securities.

  • Material Information means any information (Material Fact or Material Change) relating to the business and affairs of the Company that results in or would reasonably be expected to result in a significant change in the market price or value of any of the Company’s securities;

  • Non-Public Data means Customer Data, other than Personal Data, that is not subject to distribution to the public as public information. It is deemed to be sensitive and confidential by Customer because it contains information that is exempt by statute, ordinance or administrative rule from access by the general public as public information. Non-Public Data includes any data deemed confidential pursuant to the Contract, otherwise identified by Customer as Non-Public Data, or that a reasonable person would deem confidential.

  • Unpublished Price Sensitive Information (UPSI means any information, relating to a company or its securities, directly or indirectly, that is not generally available which upon becoming generally available, is likely to materially affect the price of the securities and shall, ordinarily including but not restricted to, information relating to the following:
