This document must be read in the context of the FAIR Agreement and when interpreting its provisions, consideration must be given to the other five elements of the agreement.
▇▇▇▇▇▇ Agreement means that certain Contingent Stock Agreement, effective as of January 1, 1996, by The ▇▇▇▇▇ Company in favor of and for the benefit of the Holders (named in Schedule I thereto) and the Representatives (therein defined), as amended.
Assignment of Management Agreement means that certain Assignment of Management Agreement and Subordination of Management Fees dated as of the Closing Date among Lender, Borrower and Manager, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.
Reaffirmation Agreement means that certain Reaffirmation Agreement dated as of the Closing Date made by each Borrower in favor of the Administrative Agent for the benefit of the Secured Parties.
SCM Agreement means the Agreement on Subsidies and Countervailing Measures in Annex 1A to the WTO Agreement;
Transition Agreement has the meaning set forth in Section 12.8.1.
