Final Net Working Capital Excess definition

Final Net Working Capital Excess means the amount of the excess of Final Net Working Capital over the Net Working Capital Target, if any.
Final Net Working Capital Excess means, expressed as a positive number, (I) if the Final Closing Net Working Capital is greater than the Target Net Working Capital and the Estimated Net Working Capital (which is less than the Target Net Working Capital), the amount of any Estimated Net Working Capital Shortfall previously deducted from the Initial Merger Consideration or (II) if the Final Net Working Capital is less than the Target Net Working Capital but greater than the Estimated Net Working Capital, then the amount by which the Final Net Working Capital exceeds the Estimated Net Working Capital.
Final Net Working Capital Excess has the meaning set forth in Section 3.02(g)(i) hereof.
