Fixed Conversion Price definition

Fixed Conversion Price shall have the meaning set forth in Section 4(b).
Fixed Conversion Price means, as of any Conversion Date (as defined below) or other date of determination, $0.0040, subject to adjustment as provided herein. All such determinations to be appropriately adjusted for any stock split, stock dividend, stock combination or other similar transaction.
Fixed Conversion Price means $1.13 [which has been determined on the date of this Note as an amount equal to 103% of the average closing price of the Common Stock for the ten (10) trading days immediately prior to the date of this Note; provided that the Fixed Conversion Price shall not exceed 110% of the closing price on the date immediately preceding the Closing Date]. The shares of Common Stock to be issued upon such conversion are herein referred to as the “Conversion Shares.”

  • If the Maker shall at any time or from time-to-time after the Original Issuance Date, effect a combination or consolidation of the outstanding Common Shares, the Fixed Conversion Price shall be proportionately increased.

  • The “Conversion Price” means US$0.10 (the “Fixed Conversion Price”) as such Fixed Conversion Price may be adjusted as provided herein (as applicable, the “Applicable Conversion Price”); provided, however, that if any Conversion Price under the foregoing definition results in a fractional amount, the fractional amount shall be rounded down to the nearest whole cent.

  • If any adjustments to the Fixed Conversion Price under this Section 3.3 result in a fractional amount, the fractional amount shall be rounded down to the nearest whole cent.
