If the Maker shall at any time or from time-to-time after the Original Issuance Date, effect a combination or consolidation of the outstanding Common Shares, the Fixed Conversion Price shall be proportionately increased.
The “Conversion Price” means US$0.10 (the “Fixed Conversion Price”) as such Fixed Conversion Price may be adjusted as provided herein (as applicable, the “Applicable Conversion Price”); provided, however, that if any Conversion Price under the foregoing definition results in a fractional amount, the fractional amount shall be rounded down to the nearest whole cent.
