Fixed Conversion Rates definition

Fixed Conversion Rates means the Maximum Conversion Rate and the Minimum Conversion Rate.
Fixed Conversion Rates means the Mandatory Conversion Rate and the Early Conversion Rate;
Fixed Conversion Rates means, collectively, the Maximum Conversion Rate and the Minimum Conversion Rate. “Floor Price” shall have the meaning set forth in Section (D) 4(d).

  • Any distribution of rights or warrants pursuant to a rights plan that would allow Holders to receive upon conversion, in addition to any shares of Common Stock, the rights described therein (unless such rights or warrants have separated from Common Stock) shall not constitute a distribution of rights or warrants that would entitle Holders to an adjustment to the Fixed Conversion Rates.

  • Adjustments to the Fixed Conversion Rates under this Section 9 of this Subdivision shall be calculated to the nearest 1/10,000th of a share.


More Definitions of Fixed Conversion Rates

Fixed Conversion Rates means the Maximum Conversion Rate and the Minimum Conversion Rate. “GLOBAL PREFERRED SHARE” shall have the meaning set forth in Section 18(a) hereof.

Fixed Conversion Rates. Means the Maximum Conversion Rate and the Minimum Conversion Rate. General Meeting Means the general meeting of Shareholders. Junior Shares Means (i) the Common Shares and (ii) each other class or series of share capital or series of preferred shares established after the Preferred A Issue Date, the terms of which do not expressly provide that such class or series ranks senior to or on a parity with the Preferred A Shares as to dividend or distribution rights or rights upon the Company’s liquidation, winding-up or dissolution. Liquidation Preference Means, as to the Preferred A Shares, USD50.00 per Preferred A Share.
