• The Managing Partner, for and on behalf of the Partnership, shall enter into the Credit Agreement, a copy of which has been delivered to Teck and Fording LP, which provides for the Fording Credit Facility and the Operating Facility, together with all related documentation.

• Each of Fording and Fording LP is in material compliance with the terms and conditions of the Royalty Agreement, and the Royalty Agreement has not been amended in any respect since December 31, 2006.
