Foreign Ownership Limitation definition

Foreign Ownership Limitation shall have the meaning specified in Section 4.09(b).
Foreign Ownership Limitation means the maximum aggregate percentage of the capital stock of HSN that may be Owned or voted by or for the account of Non-U.S. Persons under Section 310(b) of the Communications Act of 1934, as amended, to the extent and for so long as such section (or any successor provision) is applicable.

The provisions of this Section 10 shall be construed, corrected and implemented in a manner so as to effectuate the intended beneficial ownership limitation herein contained.

  • Ownership Percentage with respect to any Member means the percentage of ownership of a Member determined by taking the total Capital Units held by such Member divided by the aggregate total number of issued and outstanding Capital Units.
