Closing Working Capital Statement has the meaning set forth in Section 2.04(b)(i).
Working Capital Statement has the meaning set forth in Section 2.3(a).
Final Working Capital Statement has the meaning set forth in Section 2.04.
Base Working Capital means $25,000,000.
Estimated Closing Working Capital has the meaning set forth in Section 2.04(a)(ii).
Closing Working Capital means: (a) the Current Assets of the Company, less (b) the Current Liabilities of the Company, determined as of the close of business on the Closing Date.
Final Statement means the statement defined in Sub-Clause 14.11 [Application for Final Payment Certificate].
Closing Date Working Capital has the meaning specified in Section 2.3(b).
Closing Date Net Working Capital has the meaning specified in Section 3.4(a).
Closing Statement has the meaning set forth in Section 2.5(a).
Closing Financial Statements has the meaning set forth in Section 6.22.
Estimated Working Capital has the meaning set forth in Section 2.3(a).
Monthly Financial Statements is defined in Section 6.2(c).
Estimated Closing Net Working Capital has the meaning set forth in Section 2.5.
Financial Statement has the meaning set forth in Section 4(g) below.
Estimated Working Capital Adjustment means the amount by which the Estimated Working Capital is greater or less than the Base Working Capital, any such excess amount being treated as a positive number and any shortfall being treated as a negative number;
E-Statement means an electronic version of daily confirms, monthly, quarterly or annual statements, and shareholder tax statements created with investor transaction data housed on DST’s TA2000® mutual fund record keeping system, with images available online via a secure web site.
Actual Working Capital has the meaning set forth in Section 2.7(a).
Consolidated Working Capital Adjustment means, for any period on a consolidated basis, the amount (which may be a negative number) by which Consolidated Working Capital as of the beginning of such period exceeds (or is less than) Consolidated Working Capital as of the end of such period.
Annual Statement means that statement required by Iowa Code section 508.11 to be filed annually by the company with the office of the commissioner.
Specification Schedule means the Schedule containing details of the Specification.
Estimated Closing Statement has the meaning set forth in Section 2.4(a).
Most Recent Financial Statements has the meaning set forth in Section 4(g) below.
Final Closing Working Capital has the meaning set forth in Section 2.5(d).
Financial Statement Date has the meaning set forth in Section 4.05 hereof.
Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.
