Future Fees definition

Future Fees means all fees, costs, or expenses that the SurModics Indemnitees have incurred, or will incur, in connection with the Alabama Action that are not reflected on Exhibit A, subject to SRI’s limited right of objection as set forth in paragraph 2(b). Future Fees shall not include the fees, costs, or expenses of any SurModics Expert Witnesses.

Examples of Future Fees in a sentence

  • In the event of a Termination for Performance, the Company shall pay Managing Agent an amount in cash (the “Performance Termination Fee”) equal to the sum of the present values of Monthly Future Fees payable for the first one hundred twenty (120) months of the Remaining Term.

  • In the event that suit shall be brought by either party relating to any dispute or controversy arising from this Agreement (including any dispute regarding Future Fees under Paragraph 2(b) of this Agreement and any binding determination as a result of such a dispute), the prevailing party shall be entitled to recover its reasonable attorney fees, costs, and expenses from the other party.

  • Future Fees for Your Membership will be at the rate notified to you in advance in accordance with the section entitled “Changes to Your Agreement”.

  • No later than fifteen (15) days after the end of each month after the Effective Date, SurModics will deliver to SRI, for its review, a fee and expense schedule (each, a “Monthly Schedule”) setting forth, in reasonable detail, the Future Fees since the delivery of the prior Monthly Schedule (or, for the first Monthly Schedule after the Effective Date, all Future Fees incurred prior to and since the Effective Date).

  • Accordingly, the Company will issue 35,190 shares for the Prior Fees and 51,903 shares for the Future Fees.

  • Along with any written objection to the Future Fees, SRI will provide to SurModics a copy of SRI’s invoices reflecting fees, costs, or expenses incurred by SRI during the same time period for purposes of resolving the objected-to Future Fees.

  • Each of the parties submits to the exclusive jurisdiction of any state or federal court sitting in Hennepin or ▇▇▇▇▇▇ County, Minnesota, or Jefferson or Shelby County, Alabama, in any action or proceeding arising out of or relating to this Agreement, except that any dispute regarding Future Fees under Paragraph 2(b) of this Agreement shall be resolved solely through the binding process set forth in Paragraph 2(b).

  • Within thirty (30) calendar days of receiving each Monthly Schedule and corresponding invoices, SRI shall pay to SurModics seventy-five percent (75%) of the Future Fees set forth on such Monthly Schedule less any portion thereof that SRI has objected to as excessive.

  • Upon execution and delivery of this Agreement, the Company will issue to the Firm 87,093 shares of the Company's common stock, which upon registration on Form S-8 by the Company will constitute full satisfaction for the Prior Fees and the Future Fees.

  • Future Fees for Your Membership will be at the rate notified to you in advance in accordance with the section entitled “Changes to Your Agreement”.

Related to Future Fees

  • Upfront Fees means, with respect to any Receivable, the sum of any fees charged by Holdings or the Receivables Account Bank, as the case may be, to a Receivables Obligor in connection with the disbursement of a loan, as set forth in the Receivables Agreement related to such Receivable, which are deducted from the initial amount disbursed to such Receivables Obligor, including the “Origination Fee” set forth on the applicable Receivable Agreement.

  • Late Fees shall have the meaning set forth in Section 2(d).

  • Hire Fee the hire fee specified in Item 13.

  • Booking Fee is the fee an Agency charges for scheduling Sign Language Interpreters.

  • L/C Fees means, with respect to an L/C, the amount calculated by multiplying (i) the face amount of that L/C by the rate for calculation of the L/C Fee specified in Section 2.6 by (ii) a fraction, the numerator of which is the duration of the term of that L/C and the denominator of which is the number of days in the calendar year in question.
