Future Price definition

Future Price means the price of the Future determined by the Determination Agent by reference to the price published by the Exchange on the page specified in the Table under "Future", and adjusted for any market making spreads as determined by the Determination Agent in its reasonable discretion pursuant to §317 BGB by taking into consideration the relevant capital market practice and by acting in good faith.
Future Price means the average of the closing price of the Common Stock of the Corporation on the New York Stock Exchange for a period of thirty (30) consecutive trading days.
Future Price means the greater of (i) the closing price of Parent Common Stock on the NASDAQ Small Cap Market on the trading day immediately preceding the first trading day on which either Seller may sell any of the Transaction Shares pursuant to SEC Rule 144 or an effective registration statement (whichever comes first) or (ii) the average closing price of Parent Common Stock on the NASDAQ Small Cap Market on each of the ten consecutive trading days ending on the trading day immediately preceding the first trading day on which either Seller may sell any of the Transaction Shares pursuant to SEC Rule 144 or an effective registration statement (whichever comes first). In the event of any recapitalization, stock split or reverse split, combination or exchange of shares, stock dividend or other capital change affecting the Parent Common Stock, an equitable and appropriate corresponding adjustment to the Parent Stock Value shall be made for purposes of this Section 2.6 to prevent substantial dilution or enlargement of the rights of the Sellers under this Section 2.6. Any amount payable by the Parent pursuant to this Section 2.6 shall be paid within ten (10) business days after the first trading day on which either Seller may sell any of the Transaction Shares pursuant to either SEC Rule 144 or an effective registration statement (whichever comes first).

  • If, in the opinion of the Determination Agent, a Market Disruption Event has occurred and is continuing on any Scheduled Trading Day (or, if different, the day on which prices for that Scheduled Trading Day would, in the ordinary course, be published by the Exchange), the Commodity Future Price for that Scheduled Trading Day will be determined by the Determination Agent in accordance with the first applicable Disruption Fallback (as defined below) that provides a Commodity Future Price.

Related to Future Price

  • The Price means the price payable to the Supplier under the Contract for the full and proper performance of its contractual obligations.

  • Floor Price means the minimum price set by the Company in the Issuance Notice below which the Agent shall not sell Shares during the applicable period set forth in the Issuance Notice, which may be adjusted by the Company at any time during the period set forth in the Issuance Notice by delivering written notice of such change to the Agent and which in no event shall be less than $1.00 without the prior written consent of the Agent, which may be withheld in the Agent’s sole discretion.

  • Real-Time Price means the Resource-Specific Settlement Interval LMP as defined in the CAISO Tariff. If there is more than one applicable Real-Time Price for the same period of time, Real-Time Price shall mean the price associated with the smallest time interval.

  • Applicable Price has the meaning assigned to such term in the definition of “Dutch Auction”.

  • Price means an amount of money tendered for goods or services, and includes all applicable taxes less all unconditional discounts;

  • Reference Price means the Reference Price of the Underlying as specified in § 1 of the Product and Underlying Data.
