Each Trustee of the Boards of Trustees (the "Board") of The Galaxy Fund, The Galaxy VIP Fund and Galaxy Fund II (the "Trusts") shall be eligible to participate in The Galaxy Fund/The Galaxy VIP Fund/Galaxy Fund II Deferred Compensation Plan (the "Plan").
