Examples of GE Indemnified Parties in a sentence
Notwithstanding the foregoing, with respect to any Mixed Contract, Abbott may, in its sole discretion, elect in lieu of the foregoing arrangements to assign its entire interest in any Mixed Contract to GE subject to the provisions of S ection 7.8 and the other terms hereof; provided, h owever, that Abbott shall remain primarily liable for, and shall indemnify the GE Indemnified Parties in respect of, any Liabilities thereunder to the extent such Liabilities relate to the Excluded Businesses.
Except as provided in Article X with respect to GE Indemnified Parties and Buyer Indemnified Parties, this Agreement is for the sole benefit of the parties to this Agreement and their permitted successors and assigns and nothing in this Agreement, or any Ancillary Agreements, express or implied, is intended to or shall confer upon any other Person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
Except as provided in Article VII with respect to the GE Indemnified Parties and Company Indemnified Parties, this Agreement is for the sole benefit of the Parties and their permitted successors and assigns and nothing in this Agreement, express or implied, is intended to or shall confer upon any other Person or entity any legal or equitable right, benefit or remedy of any nature whatsoever under or by reason of this Agreement.
For purposes of this Agreement, “Mixed Action” means any Action that a party believes is reasonably likely to: (i) include both claims that give rise to a right of indemnification under A rticle 12 and claims as to which no right of indemnification under A rticle 12 exists; or (ii) include both claims that give rise to a right of indemnification under A rticle 12 of the GE Indemnified Parties and claims that give rise to a right of indemnification under A rticle 12 of the Abbott Indemnified Parties.
