Global Residual Certificate definition

Global Residual Certificate means, in respect of any class of Residual Certificates, the global residual certificate in registered form representing such class of Residual Certificates in, or substantially in, the form set out in Schedule 5 (Form of Global Residual Certificate) to the Trust Deed.

Examples of Global Residual Certificate in a sentence

  • For so long as a class of Reg S Notes or Residual Certificates are represented by a Reg S Global Note or Global Residual Certificate held by the Common Depositary, such Reg S Global Note or Global Residual Certificate will be transferable in accordance with the rules and procedures for the time being of Euroclear and Clearstream, Luxembourg.

  • It is expected that the Reg S Global Notes and the Global Residual Certificate will be deposited with the Common Depositary for Euroclear and Clearstream, Luxembourg on or about the Closing Date.

  • All payments made to any such person (or in the case of a Global Note to or to the order of the Noteholder, or in the case of a Global Residual Certificate, to or to the order of the Residual Certificateholder) shall be valid and, to the extent of the sums so paid, effective to satisfy and discharge the liability for the moneys payable upon such Notes or Residual Certificates.

  • The Global Residual Certificate shall become void unless presented for payment within a period of five years from the date on which the final RC Distributions first became due.

  • Payments in respect of the Global Residual Certificate will be made by transfer to a sterling account maintained by the payee with a bank in London.

  • Residual Certificates issued in exchange for a Global Note pursuant to this Clause 5.1 shall bear the Note Legend or Residual Certificate Legend (as applicable) and shall be subject to all restrictions on transfer contained therein to the same extent as the Global Note or the Global Residual Certificate so exchanged.

  • Each of the persons shown in the records of Euroclear and Clearstream, Luxembourg as the beneficial owner of a particular principal amount of Residual Certificates represented by such Global Residual Certificate must look solely to Euroclear or Clearstream, Luxembourg, as the case may be, for his share of each payment made by the Issuer to, or to the order of, the holder of the Global Residual Certificate.

  • In no event will a transfer of a beneficial interest in the Global Residual Certificate or a Definitive Residual Certificate be made absent compliance with the regulations referred to above, and any purported transfer in violation of such regulations shall be void ab initio and will not be honoured by the Issuer or the Trustee.
