  • Subject to Section 2.2(f), each share of GPC Common Stock issued and outstanding immediately prior to the Effective Time (other than shares to be canceled in accordance with Section 2.1(a) above) shall, as a matter of law, be converted into the right to receive from the Parent a fraction of a validly issued, fully paid and non-assessable share of NPD Common Stock equal to the Exchange Ratio (the "Stock Consideration").
