Group 1 Optional Termination. As defined in Section 9.01(b) of this Agreement.
Group 1 Optional Termination. The right of the Holders of a majority of the Class CE-2 Certificates or the Servicer, as applicable, to purchase the Group 1 Loans pursuant to Section 10.18 of the Indenture on a Payment Date on or after which the Aggregate Loan Balance of the Group 1 Loans (after applying payments received in the related Collection Period) as of such Payment Date is less than ten percent of the Aggregate Loan Balance of the Group 1 Loans as of the Cut-off Date.
Group 1 Optional Termination. The termination of the portion of the Trust created hereunder related to Loan Group 1 in connection with the auction or purchase of the Mortgage Loans pursuant to Section 10.01 hereof.

  • In the event that the Group 1 Optional Termination and Group 2 Optional Termination are not exercised, the obligations and responsibilities created by the Agreement will terminate upon the later of the maturity or other liquidation (or any advance with respect thereto) of the last Mortgage Loan remaining in the Trust Fund or the disposition of all property in respect thereof and the distribution to Certificateholders of all amounts required to be distributed pursuant to the Agreement.

  • An Additional Termination Event shall occur upon the notice to Certificateholders of a Group 1 Optional Termination becoming unrescindable in accordance with Article X of the Pooling and Servicing Agreement (such notice, the “Optional Termination Notice”).

Group 1 Optional Termination. The purchase by the Servicer (at its option or, if the Servicer does not exercise the option, at the direction and on behalf of either, first, the majority Class C-1 Certificateholders, as long as the majority Class C-1 Certificateholders are not affiliated with the Seller and, second, the NIMS Insurer, if any) of all Group 1 Mortgage Loans and each related REO Property remaining in the Trust Fund.

  • Initial Optional Termination Date The first Distribution Date on which the aggregate Stated Principal Balance of the Mortgage Loans is equal to or less than 10% of the aggregate Stated Principal Balance of the Mortgage Loans as of the Cut-off Date.

  • Optional Termination Date Any Distribution Date on or after which the Stated Principal Balance (after giving effect to distributions to be made on such Distribution Date) of the Mortgage Loans is less than 10.00% of the Cut-off Date Balance.

  • Optional Termination The termination of the trust created hereunder in connection with the purchase of the Mortgage Loans pursuant to Section 9.01(a) hereof.

  • Extended Termination Date has the meaning specified in Section 2.16(c).

  • Initial Termination Date has the meaning set forth in Section 9.1(b)(i).

  • Accrual Termination Date Not applicable.

  • Final Termination Date means the last date of the final year in which the Applicant is required to Maintain Viable Presence and as further identified in Section 2.3.E of this Agreement.

  • Additional Termination Event has the meaning specified in Section 5(b).

  • Mandatory Termination Date means the "Termination Date" set forth under "Investment Summary--Essential Information" in the Prospectus for the Trust.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of (1) two years following such Change in Control or (2) the Executive’s death.
