Guarantor Payment Account definition

Guarantor Payment Account has the meaning set forth in the Indenture.
Guarantor Payment Account means the segregated trust account with the name established and maintained with the Indenture Trustee and in the name of the Guaranteed Loan Lender on behalf of the Guaranteed Loan Lender and maintained pursuant to Section 5.01 of the Indenture.
Guarantor Payment Account means the account established at a Qualified Institution in the name of the Indenture Trustee, for the benefit of the Secured Parties, which account has been designated as the “Guarantor Payment Account” by the Indenture Trustee or the Administrative Agent.

Examples of Guarantor Payment Account in a sentence

  • Such demands will request that Guaranteed Amounts be remitted to the Guarantor Payment Account for the benefit of the Lender.

  • To the extent the Agent receives the proceeds of such request to the Guarantor, the Agent shall remit such amounts directly to the Guarantor Payment Account.

  • All amounts received in the Guarantor Payment Account pursuant to this Section 5.14 shall be deemed to have discharged the Borrower’s obligations to the Lender pro tanto dollar for dollar to the extent such amounts were so paid into the Guarantor Payment Account.

  • From time to time, upon the written request of the Issuer or the Administrative Agent specifying amounts are owing to such Guarantor with respect to a Guarantee Agreement, the Indenture Trustee shall withdraw from the Guarantor Payment Account such amounts and remit them directly to the applicable Guarantor.

  • On or before the first Borrowing Date, the Indenture Trustee shall establish, for the benefit of the Lenders to the extent of its interests therein as provided herein, the Disbursement Account, the Collection Account, the Reserve Account, the Guarantor Payment Account and the Residual Payments Account, which accounts shall be segregated accounts maintained at a Qualified Institution selected by the Issuer and approved by the Administrative Agent and each Funding Agent.

  • The Guarantor Payment Account shall initially be established with the Indenture Trustee.

  • Financial Liabilities Financial liabilities are initially measured at fair value and subsequently measured at amortised cost.

  • The Servicer, on behalf of the Issuer, will not direct the Indenture Trustee to make any investment of any funds held in the Class 1-A Notes Interest Reserve Account, the Notes General Interest Reserve Account or the Guarantor Payment Account unless the security interest Granted and perfected in such account will continue to be perfected in such investment, in either case without any further action by any Person.

  • Payment Account means a segregated non-interest-bearing corporate trust account maintained by the Property Trustee with the Bank in its trust department for the benefit of the Securityholders in which all amounts paid in respect of the Debentures shall be held and from which the Property Trustee shall make payments to the Securityholders in accordance with Sections 401 and 402.

  • Disbursement Account means an account established and owned by Company and held at the Disbursement Institution against which wire transfers and ACH transfers are settled for payment of Loan Proceeds to Borrowers.

  • Interest Collection Account A Securities Account created and maintained on the books and records of the Securities Intermediary entitled “Interest Collection Account” in the name of the Borrower and subject to the prior Lien of the Collateral Agent for the benefit of the Secured Parties.

  • Debt Service Reserve Account shall have the meaning assigned to such term in the Depositary Agreement.

  • Settlement Account means an account established at a financial institution designated by Merchant as the account to be credited and debited by the Servicers for Transactions, Card Fees, Chargebacks and other amount assessed by a Card Association and passed- through to Merchant pursuant to the terms of this Agreement.

  • Principal Collection Account A Securities Account created and maintained on the books and records of the Securities Intermediary entitled “Principal Collection Account” in the name of the Borrower and subject to the prior Lien of the Collateral Agent for the benefit of the Secured Parties.
