Hanover Preferred Stock shall have the meaning specified in Section 5.2(a). "Hanover Pre-Closing Shares" shall mean the shares of Hanover Common Stock outstanding immediately prior to the Effective Time of the Merger, including, without limitation, any shares actually issued in the Exchange Share Issuance. "Hanover Percentage" shall equal the product of (a) 1.5%, multiplied by (b) the quotient of (i) the number of Hanover Pre-Closing Shares, divided by (ii) the number of Estimated Pre-Closing Shares.
