The Implementing Partner represents and certifies that it is legally registered as a non-governmental, non-profit, non-political organization in the country of the Project implementation or, under exceptional circumstances and as approved by the HC, in another UN Member State in the event the Partner cannot register in the country of operation, and that it has the required legal capacity to enter into this Agreement and implement the Project, and that it shall comply with any legislation applicable to it.
