Each Lender shall notify Historic TW promptly of any such setoff and the application made by such Lender of the proceeds thereof; provided that the failure to give such notice shall not affect the validity of such setoff and application.

Each of the Company, Historic TW, HBO and TBS represents and warrants to, and agrees with, each Underwriter as set forth below in this Section 1.
This indemnity agreement will be in addition to any liability which the Company, Historic TW, HBO or TBS may otherwise have.
If the allocation provided by the immediately preceding sentence is unavailable for any reason, the Company, Historic TW, HBO, TBS and the Underwriters shall contribute in such proportion as is appropriate to reflect not only such relative benefits but also the relative fault of the Company and the Guarantors and of the Underwriters in connection with the statements or omissions which resulted in such Losses as well as any other relevant equitable considerations.
