Historic TW definition

Historic TW means Historic TW Inc., a Delaware corporation and wholly owned subsidiary of the Company, until a successor shall have become such pursuant to the applicable provisions of this Indenture, and thereafter “Historic TW” shall mean such successor.
Historic TW means, Historic TW Inc. (f/k/a Time Warner Inc.) a Delaware Corporation.
Historic TW has the meaning set forth in Schedule I.

Examples of Historic TW in a sentence

  • Each Lender shall notify Historic TW promptly of any such setoff and the application made by such Lender of the proceeds thereof; provided that the failure to give such notice shall not affect the validity of such setoff and application.

  • Each Guarantor waives diligence, presentment, protest, demand for payment and notice of default or nonpayment to or upon either one or both of the Designated Borrowers or any Guarantor with respect to the Obligations or the Historic TW Obligations.

  • This Agreement supersedes all prior agreements and understandings (whether written or oral) between the Company, Historic TW, HBO, TBS and the Underwriters, or any of them, with respect to the subject matter hereof.

  • Furthermore, each of the Company, Historic TW, HBO and TBS agrees that it is solely responsible for making its own judgments in connection with the offering (irrespective of whether any of the Underwriters has advised or is currently advising the Company on related or other matters).

  • Each of the Company, Historic TW, HBO and TBS represents and warrants to, and agrees with, each Underwriter as set forth below in this Section 1.

  • This indemnity agreement will be in addition to any liability which the Company, Historic TW, HBO or TBS may otherwise have.

  • If the allocation provided by the immediately preceding sentence is unavailable for any reason, the Company, Historic TW, HBO, TBS and the Underwriters shall contribute in such proportion as is appropriate to reflect not only such relative benefits but also the relative fault of the Company and the Guarantors and of the Underwriters in connection with the statements or omissions which resulted in such Losses as well as any other relevant equitable considerations.

Related to Historic TW

  • Historic resource means a publicly or privately owned historic building, structure, site, object, feature, or open space located within an historic district designated by the national register of historic places, the state register of historic sites, or a local unit acting under the local historic districts act, 1970 PA 169, MCL 399.201 to 399.215, or that is individually listed on the state register of historic sites or national register of historic places, and includes all of the following:

  • Historic property means any prehistoric or historic site, district, building, object or other real or personal property of historical, architectural or archaeological value, and folklife resources. These properties or resources may include, but are not limited to, monuments, memorials, Indian habitations, ceremonial sites, abandoned settlements, sunken or abandoned ships, engineering works, treasure trove, artifacts or other objects with intrinsic historical or archaeological value, or any part thereof, relating to the history, government and culture of Florida.

  • TBS and “TBS Access Code” have the same meanings as set out in the terms and conditions relating to Telephone Banking Service.
