Holders Majority definition

Holders Majority means Francisco Partners; provided, however, that if the Francisco Partners Group does not hold 5% or more of the Common Shares (on an as-if converted to Common Shares basis), then Holders Majority shall mean Holders representing not less than fifty percent (50%) of the Registrable Securities held by all of the Holders (calculated on an as-if converted to Common Shares basis);
Holders Majority means Holders holding at the relevant time a majority of all Registrable Securities held by all then Holders.
Holders Majority shall have the meaning specified in subsection 9.2(a).

  • If, however, with respect to the portion of the Receivables allocable to any outstanding Series, a Holders' Majority instruct the Trustee not to effectuate a Disposition of the portion of the Receivables allocable to such Series, the Trust shall be reconstituted and continue with respect to such Series pursuant to the terms of this Agreement and the applicable Supplement (as amended in connection with such reconstitution).

  • If requested by the Preferred Holders Majority, the Group Companies shall promptly purchase and maintain in effect, worker’s injury compensation insurance, public liability insurance, key man insurance, and other insurance, in any case with respect to the Group’s properties, employees, products, operations, and/or business, each in the amounts not less than that are customarily obtained by companies of similar size, in a similar line of business, and with operations in the PRC.

  • Borrower may not, without having received the prior written consent of the Majority Holders ("Majority Approval") prepay any Note, in whole or in part.

  • Except for holding the interest in the applicable Subsidiaries, neither the Company nor the Holdco Subsidiary shall engage in any business or operations without the consent of the Preferred Holders Majority.

  • The Company shall institute and keep in place such arrangements as are reasonably satisfactory to the Preferred Holders Majority such that the Company (i) will at all times control the operations of each other Group Company, and (ii) will at all times be permitted to properly consolidate the financial results for each other Group Company in the consolidated financial statements for the Company prepared under the Accounting Standards.

  • Any termination, or material modification or waiver of, or material amendment to any Control Documents shall require the written consent of the Preferred Holders Majority.


More Definitions of Holders Majority

Holders Majority shall have the meaning given in Section 7.11.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Majority Interest means Notes, Trust Certificates or Securities, as the case may be, evidencing a majority of the Outstanding Amount of the related Notes, Trust Certificates or Securities, except that, except as otherwise provided in the Basic Documents, Securities owned by the Issuing Entity, the Depositor, the Servicer (so long as NMAC or an Affiliate is the Servicer) or any of their respective Affiliates will not be included in such determination for the purpose of making requests, demands, authorizations, directions, notices, consents or other action under the Basic Documents.
