Holdings Discount Debentures definition

Holdings Discount Debentures has the meaning assigned to such term in the recitals to this Agreement and shall also include any notes evidencing such Indebtedness incurred to refinance the Holdings Discount Debentures to the extent permitted under subsection 7.1(viii).

Holdings Discount Debentures means the discount debentures issued by Holdings in connection with the Acquisitions pursuant to the Holdings Discount Indenture for gross cash proceeds of not less than $25,000,000 in accordance with Section 4.02(p) or 4.03(o), as applicable.
