Holiday Seller means certain subsidiaries of Holiday Acquisition Holdings LLC, a Delaware limited liability company, party to the Holiday Acquisition Agreement.
Seller Affiliate means any Affiliate of Seller.
Retail seller means any person that sells any dangerous drug to consumers without assuming control over and responsibility for its administration. Mere advice or instructions regarding administration do not constitute control or establish responsibility.
Seller Entities means the Seller and its affiliates other than the Buyer Entities;
Target Company means each of the Company and its direct and indirect Subsidiaries.
Seller has the meaning set forth in the Preamble.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
Seller Parent has the meaning set forth in the Preamble.
Transferred Entities means the entities set forth on Schedule 1.5.
Company Subsidiary means any Subsidiary of the Company.
FDI means financial derivative instrument.
First-time home buyer means an individual or his or her spouse or domestic partner who have not owned a home during the three-year period prior to purchase of a home.
Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.
Business Entity means a natural or legal person, business corporation, professional services corporation, limited liability company, partnership, limited partnership, business trust, association or any other legal commercial entity organized under the laws of this State or of any other state or foreign jurisdiction;
Locational UCAP Seller means a Member that sells Locational UCAP.
Company Entity means the Company or one of its Subsidiaries.
Target Companies means the Company and its Subsidiaries.
Management Company Employee means an individual employed by a Person providing management services to the Company which are required for the ongoing successful operation of the business enterprise of the Company, but excluding a Person engaged in Investor Relations Activities;
Selling Institution The entity obligated to make payments to the Issuer under the terms of a Participation Interest.
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
Remote seller means any dealer deemed to have sufficient activity within the Commonwealth to
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Model 4 seller means a seller that is registered under the agreement and is not a model 1 seller, model 2 seller, or model 3 seller.
School District/Public Entity means the School District/Public Entity that executes the contract.
Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.
JV Entity means any joint venture of the Borrower or any Restricted Subsidiary that is not a Subsidiary.
