  • Neither Houston, the Surviving Corporation, Miami, Intermediate Holdco, Merger Sub, the Agent nor any other Person shall be liable to any holder of Seattle Common Stock or any holder of shares of Houston Common Stock for ADSs (or dividends or distributions with respect thereto or with respect to Seattle Common Stock) or cash properly delivered to a public official pursuant to any applicable abandoned property, escheat or similar Law.

  • All amounts withheld by Houston on behalf of Seattle Employees in the Houston ESPP that have not been used to purchase Houston Common Stock prior to the Operational Separation Date will be returned to the Seattle Employees pursuant to the terms of the Houston ESPP.
