• Nothing contained in this Agreement, express or implied, is intended to confer any benefits, rights or remedies upon any Person other than members of the IDT Group and the CTM Group and the IDT Indemnitees and CTM Indemnitees under Article VI hereof.

• Nothing contained in this Agreement, express or implied, is intended to confer any benefits, rights or remedies upon any Person other than members of the IDT Group and Zedge and the IDT Indemnitees and Zedge Indemnitees under Article VI hereof.

• Nothing contained in this Agreement, express or implied, is intended to confer any benefits, rights or remedies upon any Person other than members of the IDT Group and Xxxxxx and the IDT Indemnitees and Xxxxxx Indemnitees under Article VI hereof.

• On and after the Distribution Date, SPCI shall indemnify, defend and hold harmless each member of the IDT Group, and each of their respective directors, officers, employees and agents (the “IDT Indemnitees”) from and against any and all Indemnifiable Losses incurred or suffered by any of the IDT Indemnitees and arising out of, or due to, (a) the failure of SPCI to pay, perform or otherwise discharge, any of the SPCI Liabilities, and (b) any breach by SPCI of this Agreement.

• On and after the Distribution Date, Zedge shall indemnify, defend and hold harmless each member of the IDT Group, and each of their respective directors, officers, employees and agents (the “IDT Indemnitees”) from and against any and all Indemnifiable Losses incurred or suffered by any of the IDT Indemnitees and arising out of, or due to, (a) the failure of Zedge to pay, perform or otherwise discharge, any of the Zedge Liabilities, and (b) any breach by Zedge of this Agreement.

• Nothing contained in this Agreement, express or implied, is intended to confer any benefits, rights or remedies upon any Person other than members of the IDT Group and the Genie Group and the IDT Indemnitees and Genie Indemnitees under Article VI hereof.
