Each Secured Party hereby acknowledges and agrees that the grant of Collateral by the Israeli Subsidiaries over any IIA-Funded Know-How is subject to the terms of the (a) IIA Approval; (b) the provisions of the Israeli Encouragement of Research, Development and Technological Innovation in Industry Law, 5744-1984 and (c) the IIA’s rules and guidance.
