IIA Undertaking definition

IIA Undertaking has the meaning set forth in the definition of the term “Collateral and Guarantee Requirement.”

IIA Undertaking means an undertaking letter from the Collateral Agent to the IIA substantially in the form required by the IIA.

IIA Undertaking means a completed and executed undertaking of the Parent to the IIA in the form attached hereto as Schedule 3.5(b).

Examples of IIA Undertaking in a sentence

• Following the Closing, Vibrant shall continue to be subject to the provisions of the Israeli R&D Law and related rules and guidelines, and, to the extent required, the applicable material equityholders of Vibrant and/or Company and any affiliate thereof, as required thereunder, shall execute the IIA Undertaking to this effect.

• If required, the submission by the Parent to the IIA of the Parent IIA Undertaking.

• Notwithstanding anything to the contrary in this Agreement, in case that Purchaser does not comply with the Purchaser IIA Undertaking, any Liability resulting from or arising out of such non-compliance shall be borne exclusively by Purchaser.

• In addition, Purchaser shall have delivered a duly executed copy of the Purchaser IIA Undertaking to the IIA and to the Company.

• The applicable material equityholders of Company and/or any affiliate thereof (as requested by the IIA) shall have filed duly executed IIA Undertaking with the IIA; the IIA shall have accepted the parties’ notice to the IIA of the Merger and the transactions contemplated thereby.

More Definitions of IIA Undertaking

IIA Undertaking means an undertaking of the Administrative Agent on behalf of Xxxxxxx in favor of the Israeli Innovation Authority in the form acceptable to the Israel Innovation Authority in connection with the IIA Charge Approval.
